Our terms and conditions

These Terms of Service (the "Terms") govern your use of RankTurn (the "Service"), which is operated by RankTurn ("we", "us", or "our"). By using the Service, you agree to be bound by these Terms.

Article 1 (Application)

These Terms apply to all matters relating to your use of the Service. Any additional terms or rules we separately establish for the Service ("Supplementary Terms") form part of these Terms. If these Terms conflict with any Supplementary Terms, the Supplementary Terms prevail unless we state otherwise.

Article 2 (Registration)

To use the Service, you must agree to these Terms and register in the manner we prescribe. We may refuse a registration in the following cases, and we are not obligated to disclose our reasons:

  1. The registration information contains false information.
  2. The applicant has previously violated these Terms.
  3. We otherwise determine that the registration is inappropriate.

Article 3 (Management of User ID and Password)

You are responsible for managing your own user ID and password. You may not, under any circumstances, transfer, lend, or share your user ID and password with any third party. We treat any login using a registered user ID and password combination as use by the registered user. We are not liable for any damage caused by a third party's unauthorized use, except where the damage results from our willful misconduct or gross negligence.

Article 4 (Fees and Payment)

You agree to pay the fees displayed on the Service's website using the payment methods we designate. If payment is not made by the due date, late-payment interest of 14.6% per annum applies.

We may offer a paid trial. When the trial period ends, your subscription automatically transitions to the monthly plan displayed at the time you signed up for the trial, and recurring billing begins. If you cancel before the trial period ends, no monthly fee is charged.

Article 5 (Prohibited Activities)

When using the Service, you must not:

  • Violate any law or public order and morals;
  • Engage in activities related to criminal acts;
  • Infringe our intellectual property rights, image rights, privacy, reputation, or other rights;
  • Destroy or interfere with our servers or network;
  • Use information obtained through the Service for commercial purposes;
  • Interfere with the operation of the Service;
  • Attempt to gain unauthorized access;
  • Collect personal information of other users;
  • Use the Service for fraudulent purposes;
  • Cause disadvantage, damage, or discomfort to other users or third parties;
  • Impersonate another user;
  • Advertise, solicit, or carry out other commercial activities that we have not authorized;
  • Provide any benefit to organized crime or other antisocial forces;
  • Engage in any other activity that we deem inappropriate.

Article 6 (Integration with External Services)

The Service offers features that integrate with external services such as Google Search Console. The following terms apply to those integrations:

  1. Integrating with an external service requires your explicit consent (for example, through an OAuth authorization).
  2. You are responsible for complying with the terms and policies of the external services you connect.
  3. We are not liable for any impact on the Service caused by outages, specification changes, or discontinuation of external services.
  4. You may disconnect from an external service at any time. Instructions are available on the Service's settings page.

Article 7 (Intellectual Property and Content)

  1. All intellectual property rights in the Service itself (including its software, design, and trademarks) belong to us or our licensors. Nothing in these Terms transfers those rights to you.
  2. You retain all rights to the information and materials you provide to the Service (such as business information, keywords, and existing articles). You grant us a license to use them only to the extent necessary to provide the Service, including generating, storing, displaying, and publishing content on your behalf.
  3. To the extent we hold any rights in content generated by the Service for you, you may use that content freely, including for commercial purposes, and we will not assert those rights against you. We do not warrant that generated content is protected by copyright or that it does not infringe the rights of third parties; see our Disclaimer for details.

Article 8 (Suspension of Service)

We may suspend all or part of the Service without prior notice in the following cases:

  1. When we carry out maintenance or updates on related systems;
  2. When providing the Service becomes difficult due to force majeure such as earthquakes, lightning, fire, power outages, or natural disasters;
  3. When a failure occurs in computers or communication lines;
  4. When we otherwise determine that providing the Service is difficult.

We are not liable for any damage suffered by users or third parties due to a suspension of the Service.

Article 9 (Usage Restrictions and Account Deletion)

We may restrict your use of the Service or delete your account without prior notice in the following cases:

  1. You have violated any provision of these Terms;
  2. Your registration information is found to contain false information;
  3. You have failed to pay fees;
  4. You have not responded to our communications for a certain period;
  5. You have not used the Service for a certain period since your last use;
  6. We otherwise determine that your use of the Service is inappropriate.

We are not liable for any damage you incur as a result of measures taken under this Article.

Article 10 (Cancellation and Withdrawal)

You may stop using the Service and close your account at any time through the procedures we provide. For paid subscriptions, you can cancel from the settings screen; billing then stops from the following billing cycle, and you may continue to use the Service for the remainder of the period you have already paid for. Given the nature of the Service, fees already paid are non-refundable, except where required by law or expressly stated otherwise.

Article 11 (Disclaimer of Warranties and Limitation of Liability)

We make no warranties, express or implied, that the Service is free from defects in fact or in law (including, without limitation, defects in safety, reliability, accuracy, completeness, effectiveness, or fitness for a particular purpose). We are not liable for any damage arising from the Service, except in cases of our willful misconduct or gross negligence. This limitation does not apply where the Consumer Contract Act of Japan applies. If we are liable for damage caused by our negligence (excluding gross negligence), our liability is limited to the total monthly fees we received from you in the month in which the damage occurred.

Article 12 (Changes to the Service)

We may change, add to, or discontinue the content of the Service with prior notice to users.

Article 13 (Changes to These Terms)

We may amend these Terms without obtaining each user's individual consent when:

  1. The amendment is in the general interest of users; or
  2. The amendment is reasonable.

When we amend these Terms, we will notify users in advance of the changes and their effective date.

Article 14 (Handling of Personal Information)

We handle your personal information appropriately in accordance with our separate Privacy Policy.

Article 15 (Notices and Communications)

Notices and communications between you and us will be made using the methods we determine. Unless you notify us of a change to your registered contact information, we will treat your current registered contact information as valid and send notices or communications to it.

Article 16 (Prohibition of Assignment)

You may not assign or pledge your contractual position, or any rights or obligations under these Terms, to any third party without our prior written consent.

Article 17 (Governing Law and Jurisdiction)

These Terms are governed by and construed in accordance with the laws of Japan. Any dispute arising in connection with the Service is subject to the exclusive jurisdiction of the court having jurisdiction over the location of our head office.
